As the CEO he is on the board of every division and every subsidiary since that is in fact how corporations work. When you are the CEO you are in charge. That is kinda what the 'C' means in 'CEO'.
The CEO of a corporation or company typically reports to the board of directors and is charged with maximizing the value of the entity
Chief Executive Officer (CEO): As the top manager, the CEO is typically responsible for the entire operations of the corporation and reports directly to the chairman and board of directors

Because he is the Chairman of the Board of XOM which means he runs the whole show.

Tillerson will most likely lift those sanctions, because it benefits him and his Company. He has 245 million in exxon stock. Link

It's not his job as CEO of Exxon Mobil that is the problem. It is that he is on the board of directors for a completely separate company of Bahamian registry that is jointly owned by a US company - Exxon - and the Russian government.
