US Limited Liability Laws

I expect there will be some differences between US/UK Limited Liability Laws but is the basic principle the same whereby an investors total business liability is limited to the original amount of capital invested. If ATS is run as a Limited Liability organisation does it have a potential investors pack that is sent out to those that express interest.
